Terms of Service

These Terms of Service ("Terms") are the umbrella terms for CodeRed and all of our products and services. They are in two parts: Part A — General Terms applies to everything we do, and Part B contains a self-contained module for each individual product. To understand the terms for a particular product, read Part A together with that product's module in Part B. They include important disclaimers and limits on our liability, and, for purchases, your rights under the Australian Consumer Law.

A1Who we are and acceptance

These Terms are between you ("you", "the user", "the customer") and CodeRed (ABN 99 163 851 573), based in Western Australia, Australia ("CodeRed", "we", "us", "our"). By downloading, accessing, using, or purchasing from any CodeRed product or service, you agree to be bound by these Terms and by our Privacy Policy, which is incorporated by reference. If you do not agree, do not use our products.

A2Scope and precedence

Part A (General Terms) applies to all CodeRed products and services, currently Lares (our home-inventory app) and CodeRed Shop (our online hardware store), and to any future products listed in Part B. Each product also has a module in Part B containing terms specific to it. If a product module conflicts with Part A, the product module prevails for that product.

A3Definitions

A4Eligibility and minimum age

You must be at least 16 years old and have the legal capacity to enter into these Terms. Our products are not directed to children.

A5Accounts

Where a product uses an account, you are responsible for the accuracy of the information you provide, for keeping your credentials secure, and for all activity under your account. Notify us promptly at cody@codered.lol if you believe your account has been compromised. Where authentication is provided by a third party (e.g. Clerk for Lares), your use of that service is also subject to its terms.

A7Intellectual property and Your Content

Our products, including software, design, and branding ("CodeRed", "Lares"), are owned by CodeRed and protected by law. Except for Your Content, nothing in these Terms transfers any intellectual property to you. We grant you a limited, personal, non-transferable, revocable licence to use each product for its intended purpose.

Your Content remains yours — we do not claim ownership of it. To operate a product, you grant CodeRed a limited, non-exclusive, worldwide, royalty-free licence to host, store, copy, transmit, display, and process Your Content solely to provide and improve the product to you. Product-specific detail on this licence (for example, AI processing in Lares, or custom-logo files in CodeRed Shop) is in the relevant module.

A8Payment basics

Prices are shown at the point of purchase in the applicable currency (Australian dollars, AUD, unless stated otherwise). Payment is processed by a third-party payment provider — card details are entered on the provider's own secure pages and are not stored on CodeRed's servers; we retain only a payment status and references. Product-specific payment, billing, refund, and tax terms are in the relevant module (see Module 1 for subscriptions and Module 2 for goods).

A9Third-party services

Our products integrate with third-party services (for example, authentication, AI, payments, e-commerce, hosting, and shipping providers). Your use of those services through our products may be subject to their own terms, and we are not responsible for their acts, omissions, content, or availability. The providers used by each product are listed in our Privacy Policy.

A10Service availability and changes

We aim to keep our products available and reliable, but except where the ACL or other law requires otherwise, we provide them on an "as is" and "as available" basis. We may modify, suspend, or discontinue features at any time. Our products depend on third-party services that may experience outages outside our control. Our products are not a backup service — you are responsible for keeping your own copies of important data, and you can export your data from the app where that feature is provided.

A11Disclaimers and limitation of liability

To the maximum extent permitted by law, and subject always to Section A12 (Australian Consumer Law), CodeRed disclaims all warranties not expressly stated in these Terms, whether express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy, and non-infringement.

To the maximum extent permitted by law, CodeRed will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of data, profits, or reputation, arising from or related to your use of (or inability to use) our products, including reliance on AI recognition or valuation outputs. To the extent we are permitted to cap our liability, our total aggregate liability arising out of or relating to a product will not exceed the greater of (a) the amount you paid us for that product in the 12 months before the claim, or (b) AUD $100. Nothing in this section limits your rights under the Australian Consumer Law.

A12Australian Consumer Law

Nothing in these Terms excludes, restricts, or modifies any consumer guarantee, right, or remedy under the Australian Consumer Law or any other law that cannot lawfully be excluded. If any part of these Terms purports to do so, it is void to that extent.

Our goods and services come with guarantees that cannot be excluded under the Australian Consumer Law. Where we are permitted to limit our liability for breach of a non-excludable guarantee, our liability is limited (at our option): for services, to re-supplying the service or paying the cost of re-supply; and for goods, to replacing or repairing the goods, supplying equivalent goods, or paying the cost of doing so — except where the failure is a major failure, in which case your statutory remedies apply. The limitations in Section A11 apply only to the extent permitted by law. Product-specific consumer-rights detail is in the relevant module.

A13Termination and suspension

You may stop using a product at any time and may delete your account where that option is provided (see our Privacy Policy). We may suspend or terminate your access if you breach these Terms, if required by law, or if continuing to provide the product becomes impractical. On termination, your right to use the product ends. Termination does not affect rights or obligations that accrued beforehand, including for completed purchases.

A14Governing law and jurisdiction

These Terms are governed by the laws of Western Australia, Australia. You and CodeRed submit to the non-exclusive jurisdiction of the courts of Western Australia, subject to any non-excludable rights you have under the laws of your place of residence. If you have a concern or dispute, please contact us first at cody@codered.lol so we can try to resolve it informally before any formal proceedings.

A15Changes to these Terms

We may update these Terms from time to time, including by adding a new product module. When we do, we will revise the "Last updated" date above and, for material changes, provide reasonable notice in-product or by other means. Your continued use of a product after an update means you accept the revised Terms.

Part B · Product module

Module 1 — Lares (app & SaaS subscription)

This module adds to Part A the terms specific to Lares, our home-inventory and valuation app. Read it together with Part A.

What Lares does

Lares is a mobile app that helps you catalog the belongings in your home. It lets you capture photos and record room-walkthrough videos, store that media in cloud storage, organise items into rooms, and use AI-assisted recognition to identify items and produce estimated values, including a running total of your inventory's estimated worth. Some features send your images to a third-party AI provider for processing — see the AI disclaimer below and our Privacy Policy.

Accounts and authentication

Lares uses a third-party authentication provider (Clerk) to manage sign-up and sign-in. Your use of Clerk is also subject to Clerk's own terms and privacy policy.

Subscriptions, billing, and refunds

Lares offers free and paid plans. Paid subscriptions unlock additional features and are billed on a recurring basis.

Payments How you are charged

Payment processing for Lares is handled by Stripe. Card details are entered on Stripe's own secure checkout pages and are never stored on our servers; we retain only Stripe's customer and subscription references and your subscription status. Your payment is also subject to Stripe's terms.

Where you purchase or manage a subscription through a mobile app store (Apple App Store or Google Play), that platform's billing rules, terms, and refund policies may apply, and the platform — not CodeRed — may be the merchant of record for that purchase. If a subscription is sold through an external web checkout, that purchase is processed by Stripe in your device's system browser.

Your content and the Lares licence

Under the general licence in Section A7, for Lares you specifically grant CodeRed the right to:

This licence ends when Your Content is deleted, subject to the storage-deletion limitation described in our Privacy Policy.

Disclaimer AI and valuation

Lares uses automated AI to identify items and to estimate values, drawing on sources such as marketplace listings and web data. These outputs are estimates only.

  • AI recognition and valuations may be inaccurate, incomplete, or out of date, and item identification may be wrong.
  • Estimated values and any aggregate "net worth" figure are not professional appraisals, and are not insurance valuations, tax advice, financial advice, or any form of professional advice.
  • You should not rely on Lares' valuations for insurance, lending, tax, legal, sale, or other decisions without obtaining your own independent professional valuation.
  • To deliver these features, your images and item details are processed by a third-party AI provider as described in our Privacy Policy. Do not use the cloud scan features for content you are not comfortable sending off-device.

Availability and termination (Lares)

Lares depends on third-party services (authentication, AI, payments, storage) that may experience outages outside our control, and it is not a backup service. You can export your data from the app at any time. You may delete your account as described in our Privacy Policy; account deletion permanently removes your database records, subject to the storage-deletion limitation under which stored media files may persist until separately purged — contact us if you require confirmation that they have been removed.

Part B · Product module

Module 2 — CodeRed Shop (sale of goods)

This module adds to Part A the terms specific to CodeRed Shop, our online store selling keyboards and related hardware. It reflects your rights under the Australian Consumer Law. Read it together with Part A.

Business identity and how to contact us

CodeRed Shop is operated by CodeRed, based in Western Australia, Australia. Sales and support enquiries, returns, and complaints: support@codered.lol (general/privacy: cody@codered.lol). CodeRed's ABN is 99 163 851 573, shown on our store and on your invoice. CodeRed is not currently registered for GST, so no GST is charged.

Pricing, currency, and GST

Orders and acceptance

When you place an order you are making an offer to buy the goods. A binding contract forms only when we accept your order, which we do when we dispatch the goods (or otherwise confirm acceptance). Until then, we may decline or cancel an order — for example if an item is out of stock or if there has been a pricing or description error — and, if you have already paid, we will refund you in full for any order we do not accept.

Payment

Checkout and card payment for standard orders are handled by Shopify, which is the merchant of record for those orders, and card payments are processed by Shopify Payments inside Shopify's hosted, PCI-compliant checkout. CodeRed does not see or store your raw card details. We also offer an optional cryptocurrency payment option (Bitcoin / Lightning / Monero) processed by our self-hosted BTCPay Server. Accepted payment methods are shown at checkout.

Your rights Consumer guarantees, returns, repairs & refunds

Goods sold by CodeRed Shop come with consumer guarantees that cannot be excluded, restricted, or modified under the Australian Consumer Law. Among other things, our goods must be of acceptable quality, match their description and any sample, be fit for any disclosed purpose, come with clear title and undisturbed possession, and have spare parts and repair facilities reasonably available. These guarantees apply to goods bought for personal or domestic use and to most goods costing up to $100,000.

  • Major failure: if a product has a major failure (for example, it is unsafe, substantially unfit, significantly different from its description, or you would not have bought it had you known of the fault), you may choose a refund, a replacement, or to keep the item and be compensated for the drop in value. We cannot insist on repairing it instead.
  • Minor failure: for a minor problem, we may choose to repair, replace, or refund within a reasonable time. If we do not do so within a reasonable time, you may reject the goods and obtain a refund.
  • These remedies are in addition to any voluntary or manufacturer warranty.
  • We cover return shipping for faulty goods, and refunds for faulty goods are made by your original payment method where reasonable. We do not charge restocking fees on faulty goods.
  • Change of mind: we may also offer returns for change of mind under our store return policy (for example, within 30 days, with the item in its original condition). Any such change-of-mind policy is voluntary and does not limit your statutory rights above.

Custom and personalised goods

Some products are customised (for example, keycap or filament colour choices, or a custom logo). For custom-logo orders you confirm you have the right to use any text or image you supply, and you grant us a licence to reproduce it on your goods, consistent with Section A7. Customised goods may not be eligible for change-of-mind returns, but your consumer guarantees for faulty goods still apply.

Part B · Product module

Module 3 — Future products

As CodeRed launches new products and services, each will be added here as its own self-contained module setting out any terms specific to it. The General Terms in Part A apply to every future product, and the precedence rule in Section A2 governs any conflict between a module and Part A.
